Lawyer (EPC)

Job Description

Our client, a local firm operating in the utility scale energy market in South Africa is currently looking for an EPC Lawyer to join their operations in Cape Town.


This position requires a highly skilled individual whose responsibilities would include drafting, reviewing, negotiating and execution of engineering procurement and construction agreements, split structure agreements (both for construction and operation), operation and maintenance agreements, supply agreements, subcontracts, co-operation and interface agreements, service level agreements, performance bonds, parent company guarantees, monitoring and control of general contractual obligations, and procurement documents, largely under under the REIPPP Programme, RMIPPP Programme, and private off-take agreements.

Key Responsibilities:

  • Managing all construction and operation aspects of a transaction from inception through to financial close process and up to commercial operation and beyond of the various powerplants under the REIPPP Programme, RMIPPP Programme and similar programmes and private off-take PPAs.
  • Provide high quality legal advice to the various project teams to ensure effective risk allocation and compliance with statutory responsibilities.
  • Engage and manage external legal counsel.
  • Work closely with the technical and commercial teams, and incorporating those elements in the construction and operation agreements.
  • Provide advice to the business in respect of split structure contracts in respect of both construction and operation.
  • Draft and review procurement documents.
  • Liaise and lead in negotiations with project stakeholders and their legal advisers in respect of construction and operation documents.
  • Engaging with financial advisors.
  • Draft, review, liaise and lead in negotiations with third parties and their legal advisers on matters connected with the construction and operation of various projects.
  • Such other duties that may be required from time to time within the general scope of the position. The role description should develop along with the changing demands of the projects' objectives and priorities.

Minimum Requirements:

  • Legal degree with advanced projects construction knowledge, preferably from a top tier South African law firm or an international firm.
  • Minimum 3 years (post admission experience) strong and proven legal-commercial experience in the construction practice group, with experience in financial closing of renewable projects.
  • Experience with the typical REIPPPP power purchase agreements, implementation agreements, direct agreements and all other typical project finance agreements.
  • Strong commercial knowledge on energy matters and bankability of deals.
  • Must be able to handle a large number of complex transactions.
  • Ability to work under pressure.
  • Solution driven.
  • Detail oriented, with an ability to establish and follow processes.
  • The ability to use own initiative to do what is required.
  • Excellent verbal and written communication skills.
